Terms of Service

Account registration.

Customer must register an account to use most of the Service. Account information must be accurate, current, and complete so that Singula AI can send notices and statements. Customer must keep its credentials, API keys, and access tokens confidential and must not share them with any unauthorized person.

Licence to use the Service.

Subject to this Agreement, Singula AI grants Customer a non-exclusive, non-transferable, non-sublicensable right to access and use the Service for its internal business purposes, as set out in the applicable Order Form.

Self-hosting is separate.

The Self-Hosted Software is governed by the Elastic License 2.0 that accompanies it, not by this Agreement. This Agreement covers the hosted Service only. Running the Self-Hosted Software creates no obligation on Singula AI to provide support, availability, or security for that deployment, and Customer operates it at its own risk.

Free access.

Singula AI may make the Service available free of charge or on a trial or evaluation basis ("Free Access"). Singula AI makes no promise that Free Access will continue on the same terms and may terminate it at any time, in its sole discretion, without liability.

Changes to the Service.

Singula AI may add, change, or remove features. Singula AI will not make a change that materially reduces the core functionality of a paid subscription during its then-current term without notice to Customer.

Customer is responsible for Agent Actions.

Every Agent Action performed under Customer's account is Customer's action for all purposes under this Agreement, whether or not a person directed or reviewed it. Customer is responsible for the instructions, configuration, skills, triggers, and permissions it gives its Agents, and for the consequences of what those Agents do.

Human review is Customer's control, and Customer's duty.

An Agent proposes work into a Project through a Change Request that a person merges. Customer is responsible for reviewing what it merges. Singula AI does not review, approve, or verify Agent output, and merging is an act of Customer, not of Singula AI.

Output is not guaranteed to be correct.

AI models produce output that may be inaccurate, incomplete, outdated, or unsuitable for Customer's purpose. Customer must evaluate output before relying on it. Customer must not use the Service where a failure of the Service or of an Agent could lead directly to death, personal injury, or severe physical or environmental damage.

Actions in third-party systems.

Where Customer grants a Connector, Agents can act in Customer's connected systems — for example sending mail, writing to a repository, or changing a record. Customer is responsible for the scope of every grant it makes and for the actions taken under it, and for complying with the terms of each connected system.

Sandbox use.

The Sessions of a Project share one isolated machine that no other Project uses. A Sandbox stops when idle and keeps its files. Customer must not use a Sandbox to mine cryptocurrency, to run a public service, to attack or scan systems it does not own, or for any purpose unrelated to Customer's use of the Service. Singula AI may terminate a Session that threatens the integrity, security, or availability of the Service.

Restrictions.

Customer will not, directly or indirectly:

• reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code underlying the hosted Service, except to the extent the Self-Hosted Software licence expressly permits it;
• probe, scan, or test the vulnerability of the Service, or breach or circumvent its security or authentication measures, without prior written authorization;
• transfer, resell, lease, license, or sublicense the Service, or offer it on a standalone basis;
• use the Service to build a product or service that competes with the Service;
• use the Service to generate or distribute malware, unlawful content, or material that infringes the rights of others;
• attempt to evade usage metering, rate limits, quotas, or billing; or
• use the Service in violation of applicable law, including export control law, or outside the scope this Agreement and the applicable Order Form permit.

Responsibilities.

Customer will:

• be responsible for all use of the Service under its account, including by its team and its Agents;
• use commercially reasonable efforts to prevent unauthorized access, and notify Singula AI promptly of any known or suspected breach;
• obtain and maintain the equipment, software, and third-party accounts needed to use the Service; and
• obtain all rights, consents, and permissions necessary for Singula AI to process Customer Data as contemplated here.

Connector credentials.

Credentials for a Connector are held and used server-side by the Service. They are not placed inside the Sandbox, and an Agent reaches the connected system through the Service rather than by holding the credential itself.

Runtime secrets are visible inside the Session.

A secret Customer grants to a Session as a runtime value is a real environment value on that machine. Any command an Agent runs in that Session can read it. Customer should grant a runtime secret only where that is acceptable, and should prefer a Connector where one exists.

Customer-supplied model keys.

Where Customer supplies its own Model Provider API key, the Service uses it to run Customer's Sessions. Customer's use of that Model Provider is governed by the provider's own terms, and Customer is responsible for the charges the provider bills.

Third-Party Products.

Singula AI does not warrant or support Third-Party Products and disclaims all responsibility and liability for them and for their use with the Service.

Fees.

Paid plans are charged as a monthly subscription and, in addition, for metered usage such as model compute and Sandbox time, at the rates stated on the pricing page or in the applicable Order Form. Unless stated otherwise, fees are quoted and payable in United States dollars, payment obligations are non-cancelable and are not pro-rated for partial periods, and fees paid are non-refundable.

Usage-based charges.

Metered usage is measured by Singula AI's own records, which are the authoritative measure of usage absent manifest error. Customer is responsible for usage its Agents incur, including usage from triggers and scheduled runs it has configured.

Suspension and late payment.

Singula AI may suspend access immediately on notice if Customer fails to pay any amount within thirty (30) days of its due date. Customer is liable for reasonable costs of collection, including collection agency and attorneys' fees.

Taxes.

All amounts are exclusive of sales, use, and other taxes and duties. Customer is responsible for all such taxes, except taxes based on Singula AI's income.

Customer Data.

As between the parties, Customer retains all right, title, and interest in Customer Data, including the contents of its Projects and the output Agents return to it. Customer warrants that it holds the rights necessary to provide that data and to permit Singula AI to process it as contemplated here.

Singula AI materials.

As between the parties, Singula AI exclusively owns all right, title, and interest in the Service, in system and operational data it generates, and in its Confidential Information.

Training.

Singula AI does not use Customer Data to train its own foundation models. Model Providers process Session content under their own terms; where Customer supplies its own key, that relationship is between Customer and the provider.

Feedback.

Customer may provide suggestions or comments about the Service ("Feedback"). Singula AI has full discretion whether to act on Feedback and the unencumbered right to use it in its products and services without obligation to compensate Customer.

Confidentiality.

Each party will use the other's Confidential Information only as this Agreement permits and will not disclose it to any third party without the other's prior written consent. "Confidential Information" means information disclosed by a party that is marked confidential or that a reasonable person would understand to be confidential, excluding information that is public through no fault of the receiving party, was properly known to it without restriction before disclosure, was properly disclosed to it by another person entitled to do so, or was independently developed without reference to the disclosing party's Confidential Information.

Paid subscriptions.

Where Customer has purchased a subscription under an Order Form, this Agreement runs for the term stated there and renews automatically for successive terms of equal length unless either party gives written notice of non-renewal at least thirty (30) days before the end of the then-current term.

Free access.

Where Customer uses the Service under Free Access, either party may terminate this Agreement on written notice to the other.

Effect of termination.

On termination: all rights and obligations end, except those that by their nature survive; Customer will stop using the Service; Singula AI will delete Customer Data in its possession or control within a commercially reasonable period; and each party will delete the other's Confidential Information. Because a Project is a git repository Customer owns, Customer can retain its own copy at any time, and should export anything it needs before terminating.

Attribution.

SingulaComp is a product of Singula AI Corp. All rights reserved. The Self-Hosted Software is made available under the Elastic License 2.0.

Governing law.

This Agreement is governed by the laws of the State of Delaware, excluding its rules on choice of law and conflict of laws.

Entire agreement.

This Agreement is the entire agreement between the parties on its subject matter and supersedes all prior and contemporaneous proposals, statements, sales materials, presentations, and agreements, oral or written.

Assignment.

Neither party may assign or transfer this Agreement, in whole or in part, without the other's prior written consent, except that either party may assign it without consent to a successor to all or substantially all of its assets or business related to this Agreement.

Amendment.

Singula AI may update this Agreement from time to time and will give Customer written notice of a material update at least thirty (30) days before it takes effect. Continued use of the Service on or after the effective date constitutes acceptance of the updated Agreement.
